Tiffany has sent a formal letter to the listing agent and Western Title requesting resolution on all solar items before due diligence closes April 3. Here is a summary of what is being worked through.
- Both systems appear to be prepaid electricity agreements — seller paid for power produced, not the equipment
- Sunrun likely still owns both systems physically
- Sunlight Solar only has record of the 2011 system — no record of a 2016 agreement
- Confirmation needed: has the seller purchased either system outright? If yes, documentation required
- If not purchased outright, formal transfer through Sunrun requires written approval and a signed assignment
- Has that process been started? If not, next steps needed
- If Sunrun will not approve transfer, seller must address buyout before or at closing
- Roof needs replacement — panels must come off first
- Per agreements and Sunlight Solar: if Sunrun owns the systems, only Sunrun or a Sunrun-approved contractor can remove them
- Who coordinates removal? What does it cost? Who pays?
- Buyers are not in a position to take on that cost — this must be resolved before closing
- Both systems need to be inspected and serviced as part of this transaction
- If Sunrun owns the equipment, only Sunrun or approved contractors can service it
- Service records and maintenance history requested
- Process for requesting inspection — and what happens if repair is needed after closing — must be clarified
- Western Title has been asked to confirm whether Sunrun has UCC-1 financing statements filed on either system
- Title to advise on how those will be handled at closing
